Web Site Project Terms of Service
Thank you for choosing Line49! We look forward to producing a successful project for you.
Dollar values are quoted in CDN funds unless otherwise specified. Project commencement is dated from receipt of initial project installment payment. Installment payments are scheduled monthly by default.
Project milestone dates provided are subject to change based on the availability of input and materials from the Client. Modifications or additions to services listed in the Project Proposal may cause additional charges and delay of the projected completion date.
The Client acknowledges that Line49 and its contributing partners may make references in their marketing materials to the completed creative work.
Client Responsibilities & Deliverables
Any project requires involvement on the part of the Client. Here are some typical client responsibilities to a project (your situation may vary).
Meetings & Availability
To help achieve success, we require that you or your representative will be available for consultation and feedback on a regular basis. When in-person meetings are not scheduled, we recommend a routine weekly phone session during the project development phase, involving our project manager and your primary project contact.
Other communications & meetings that may be required (see Delivery Timeline for dates):
- Content strategy meeting(s): reviewing the content outline, clarifying feature options, reviewing pros and cons of various software add-ons
- Design meeting
- CMS coaching: telephone session
Materials Required
It will be your organization’s responsibility to provide written copy and other relevant materials (corporate artwork, logos, photos, testimonials, etc. as applicable) in digital format wherever possible. Where applicable, written copy is to be provided in Microsoft Word format, one document per Web page. The following materials are generally required:
- Project Kickoff: upon engagement
- Digital files: logo, photos, videos, maps as applicable
- Media clippings, testimonials, etc. as applicable
- Content Delivery (see Delivery Timeline for dates)
- written content with images as applicable
- may be input directly into website or provided in Microsoft Word format, one document per Web page
Non-Included ‘Wish List’ Items
During the creative phase of all website projects, website owners naturally generate ideas and requests which cannot be predicted or clearly addressed in the discovery phase. In order to keep the project on timeline and budget, Line49 reserves the right to collect such ideas into a Wish List. Items on this list will be reviewed at the end of each phase for inclusion in the current project or a future phase as appropriate and necessary, at the judgment of Line49.
The following items are not included in your Web design/redesign project budget unless explicitly specified:
- Identity design: logo + branding
- Multiple, varied page layouts or interface templates
- Original copy writing or extensive content preparation
(formatting/posting over the number of pages specified) - Translation services or in-site automated translation
- Additional languages or translation services
- Additional functional features (including “Web apps” or “widgets”) aside from those specified
- Customization of software and functionality other than that showcased in a demonstration site, custom
- software development, or integration with any other software system
- Multimedia content creation: animation, video or audio development
- Comprehensive search engine, email or social media marketing services
- Print output: business cards, stationery, etc
Ongoing Technical Service Plan
WordPress websites require ongoing maintenance on a monthly basis. Our WordPress Software Care plans include routine ongoing updates to the CMS software platform itself, in order to keep it safe and secure. From time to time, major platform upgrades will be available. These are non-routine upgrades and are not covered in the terms of the Service Plan. Line49 will provide an estimate for these optional upgrades when applicable. Line49 must host the website in order to provide this maintenance, and vice versa.
LINE49 DESIGN GROUP INC. (“LINE49”) CANNOT TAKE RESPONSIBILITY FOR THE PERFORMANCE OF YOUR WEB PRESENCE UNLESS YOU SUBSCRIBE TO A MAINTENANCE PLAN. SOFTWARE CARE SUBSCRIPTION REQUIRED IN ORDER FOR LINE49 TO ASSUME RESPONSIBILITY FOR THE SECURITY OF A CMS-BASED WEB SITE.
Ongoing Service Plan Terms of Service
Line49 Design Group Inc. assists you in managing your technical assets such as web hosting, and may from time to time interface on your behalf with third-party Internet service providers or software developers. Although Line49 may manage your website and/or Web hosting for you, and charge you for that service, you should be aware that we do not take responsibility for damages incurred by website software, Web hosting, or Email or Internet failures.
LINE49 DESIGN GROUP INC. (“LINE49”) UNDERTAKES TO ACT AS YOUR AGENT IN ORDER TO PROCURE AND MANAGE SHARED OR PRIVATE WEB HOSTING SERVICES FOR YOU. LINE49 IS NOT AND SHALL NOT BE LIABLE FOR LOST BUSINESS OR DAMAGES OF ANY KIND WHATSOEVER DUE TO WEB HOSTING SERVICE FAILURES OR OTHER WEB HOSTING PROBLEMS BEYOND LINE49’S CONTROL. YOUR ONLY RECOURSE AS AGAINST LINE49 SHALL BE IN THE EVENT OF A SINGLE SERVICE INTERRUPTION OF DURATION GREATER THAN 1% OF ONE MONTH, IN WHICH CASE YOU MAY CLAIM A REFUND OF YOUR PORTION OF THE SHARED THIRD-PARTY WEB HOST’S FEES FOR ONE CALENDAR MONTH. ONLY ONE SUCH REFUND MAY BE CLAIMED PER CALENDAR MONTH. BY CONTINUING TO USE SUCH SERVICES YOU SHALL BE DEEMED TO HAVE ACCEPTED THESE TERMS OF SERVICE AND SUCH LIMITATION OF LIABILITY. YOUR PAYMENT OF THIS INVOICE WITHOUT DISPUTING SUCH TERMS OF SERVICE AND LIMITATION OF LIABILITY SHALL BE CONCLUSIVE EVIDENCE OF SUCH CONTINUATION AND ACCEPTANCE.
